that means I'd like to transfer some files from WIN2000 to the another WIN2000 maschine using Net Share \\server2\share

Maybe you want to do something like this:

NET USE Z: \\ComputerName\ShareName
xcopy [options] source destination
NET USE Z: /DELETE
