I have a pavilion 7940 and upgraded to XP. The modem is the Lucent Win Modem and is causing lots of problems with the upgrade. I have changed drivers and running out of things to do. Would it be easier to just change the modem for a internal or external...would that fix the problem or does it go deeper than that. When I uninstall xp the modem works fine. I installed aol hoping that it would find the modem and connect but no such luck. When I try to initiate the conection the system locks up.

In a word...YES. I just bought a Creative Labs (Broadxent) PCI modem at Office Depot for $30 (rebates). It works with Windows 98SE/ME/2000/XP.
That's not to say that I believe your existing modem cannot be made to work in your computer, only that another WINXP-compliant modem would install easier.

i advise to you to put modem on another pci slot
do a bios default (F1,F5,F10)
install a driver update for the modem

That's the list I've tested so far.
DON'T do WIN modems.
And.... yes, sometimes moving the modem to another slot and rebooting, will resolve a resource or PCI conflict.
