Compaq DL320 power supply problem?!

Just purchased a used server. It powers on for roughly 5 seconds and then shuts down for 15 seconds. It then powers up and on and on it goes. Seems like I am doing something wrong here. I have reseated the memory and checked all connections, what gives? I appreciate your help thanks.

either not enought juice to the server or it might be a fan failure and it is protecting the system by shutting it self off.
