Have 3 new DL380G5 servers running Windows 2003 Sp2 with all patch's and firmware updates. I setup the servers with Smart Start 7.80. These are fresh installs with no other applications installed. On all 3 servers if you choose shutdown in windows the server will reboot vs power off

Solution
Maybe you are having a error message during shutdown that you cannot see becuase the default action is to reboot.
In System properties, Advanced, Startup And Recovery, Disable "Automatically Restart"

This got me started in the right direction. After disabling the auto restart it showed a blue screen with a 0x0000007e error on shut down. I found this forum entry http://forums1.itrc.hp.com/service/forums/questionanswer.do?threadId=1128223
In this discussion the poster downgraded the nic driver and it fixed the issue. I did the same thing and on all 3 servers the issue was resolved.
