I would think you have configured iLO; in the homepage, there is an option to disable "Automatic power on"; Try disabling that & see if that makes any difference;

try to have Firmware 7.9 and ...
let me ask you something any error in event viewer? or integrated management log?
any change to test one server using W2003 SP2?

Add this to the issue of the gimped gigabit NIC's (unable to copy files without errors) and the cache card not coming with the server (making for ATROCIOUS disk performance) makes this the worst ProLiant ever made. I've spent more of my time in the last month hunting down phantom issues only to find out that these are known issues with this model is very frustrating.
Any ideas to help would be wonderful. Production servers rebooting randomly is not good.

We have a DL380 G5 running Windows 2003 SP2...shut the server down from Windows and it powers off then turns itself back on?
We have iLO configured and I have set all settings (iLO, System Management, ROM) to not auto power-on the server, but it makes no difference?

If not - update the storage driver to the latest version. If it occurs on more servers it is definetely a driver problem...

Version of HP NC-Series Multifunction Driver Used ?
If you have installed PSP 7.9 .. this would be

This seems to have this issue of reboot.
Try the Latest version :

& if this Doesnt work,
try the one came with PSP 7.8, that is:
