It seems that the systemboard already installed in the server does not support Quad core processor.It would be a systemboard supported only on dual core procesors only.
You would have to upgrade the systemboard as well

I'm in the very same situation as Qutub-uz-Zaman.
How do I check what partno my mainboard has? I've checked the HP System Management Homepage but found only the serialno...?
