NC375i Quad NIC

No matter what I install I cannot get the NIC card to enable. I get a yellow bang. I have downloaded the correct drivers I believe. I am running W2K3 Server SP2 and have downloaded cp011405.exe. Also I am using the SmartStart 8.30. Wht are the proper drivers not in it..
