NIC Agents, SNMP and W3SVC HTTP.SYS hanging system

I've got a DL380 G5 with two NC373i NICs.
I have been encountering a series of errors related to the NIC and the management tools.

First I see a SNMP 1501:
The SNMP Service encountered an error while setting up the incoming transports.\n The IP transport has been dropped out.

Then a bit later I see a NIC error.
NOC Agents 1286
NIC Agent: Connectivity has been lost for the NIC in slot 0, port 1. [SNMP TRAP: 18006 in CPQNIC.MIB]

NIC Agent: Redundancy has been reduced by the NIC in slot 0, port 2. Number of functional NICs in the team: 2. [SNMP TRAP: 18008 in CPQNIC.MIB]

By now the network connectivity has gone,
I'll see
W3SVC 1120
The World Wide Web Publishing Service failed to obtain cache counters from HTTP.SYS. The reported performance counters do not include performance counters from HTTP.SYS for this gathering. The data field contains the error number.

Then I have to reboot.

I have removed the teaming and disabled all the insight agents and SNMP. Running more slowly in this base configuration seems more stable but I'd like to resolve the problem

I tink this is associated with changing the memory model to AWE.
