Proliant ML350 G4 not compatible with x64 OS???

I am trying to install Windows Server Standard 2008 64-bit OS on a HP Proliant ML350 G4 with a 3.2GHz Intel Xeon chip and 2Gb RAM.  The server is running VMWare ESX3.5i.  32 bit OS install and run great.

I am trying to install the OS as a VM but keep getting the following message (see attachment).

I have recreated the VM as MS Windows Server 2008 64bit and Other 64bit types but to no avail.  I was under the impression that this server was capable of running 64bit OS.

Any suggestions?

Any thoughts will be appreciated. Not sure why it is not compatible.

Your CPU does not support Intel VT which is required to run a 64bit OS in a VM.
