The bnx2 driver requires the presence of the kernel source code and configuring the kernel source before building the bnx2 driver.

I'm saying that, cause using this method u have all the kernel modules updated and the install791.sh will do all for you.
If you are receiving rpmbuild command not found, just install this package:
rpm-build-4.3.3-23_nonptl
The version, depends of your RH4 Update X.
