Upgrade ProLiant DL360 G5 2003 to 2008 R2 (Pre-Requisite)

Hi All Experts!

Need your live experience to upgrade Windows 2003 to 2008 R2 enterprise for exchange 2010/2007.

#What pre-requisite required to do this task.
#Like minimum memory
#x86 based supported the Windows 2008 R2
#Does exchange 2010 support this W2008 R2.
#Downloaded W2008 R2 is ok or need a Microsoft media for production server.

Kindly find enclosed server details.....
