The server already had the P17 Firmware.
I also checked that document before and put switches 3 and 5 ON. Still no luck.
I did a slight progress when I removed one of the processors (933) and I saw that at least the BIOS boot up makes it to the RAID controller checkup but then it resets itself. It actually turns off itself and turns on after a minute.
I also tried putting back the old processior (733) and that works just fine and the server is very stable.
Any other ideas?

You should have the latest firmware installed.

I don't think you should have to do anything else.
Processor Configuration Switch Settings
(SW1 Settings)
Processor switch settings are preconfigured for shipping. If the processor is
replaced, or if another processor is added, the system automatically detects and
configures switch settings.

If possible try the CPU in another server.

I guess they are bad processors, it just puzzles me that both CPUs are bad... the worse thing is that after a few restarts, the server will start to boot Windows and then it resets itself. oh well...
