But I have installed the latest firmware from HP-Suport Pages and the latest Software/agents!!
Can anybody Help me??

Have you implemented the full proliant support for Windoiws 2003 then check again.

I'm having the same exact problem. Support Pack 7.10 A, latest ROMpaq.
The management driver shows a yellow exclamation mark in device manager.
Let me know if you find out anything.

Do you have your SNMP service "disabled"? That could be why the agents are not loading.

Regardless, we both appear to have the same problem with the Management Controller driver loading, and I have SNMP installed.

Try to manually install the agents, i.e., Update the driver by not using the PSP scripted install.
