Only on one server of my DL380R Packaged Cluster (running Win2k Sp4).

Do you get a .dmp file? Have you tried debugging it to narrow down the problem? You can get the debugging tools and symbol packages from here:

What version of the management agents are you running on the server. I have seen it a lot on our servers upgrading the agents have corrected the problem
