HP E800 Netserver Processor Utilization

I have 2 issues regarding my HP E800 Server which is working with me for 2 years. One is that Its both processor (P3 1Ghz each) are not utilizing equally, In Win2K taskmanager One processor (CPU1) goes to 90-100% graph and 2nd processor (CPU2) remains at 25% round about, wher for a second CPU1 also come down to some about 75% but goes back to 90-100%.

2nd issue is that after running in above said condition server reboot itself.

What i have did,Win2k New installation, BIOS reset, Power Supply change.

Your help will be appricated.
