Another thing that you could try is restoring the /etc/passwd from /usr/newconfig/etc/passwd.
This is only if the system is not trusted. Before doing it, make a backup of you current /etc/passswd in single user mode(this is very important) and then:
# cp /usr/newconfig/etc/passwd /etc/passwd
# passwd
Enter new password.
# init 3
If you are able to login with the root password, then restore your backed up /etc/passwd file to it├В┬┤s original location.
Change the password again.
# passwd
Just in case, after that reboot the system and make sure everything is working normally.

no LUCK. its not trusted
no shadow password file
tried with null password
created one more super user ; same issue
no security file create its 0 bytes
Tried backing up passwd and resetting no luck
any other option which will stop me before I go for format
But the server is pinging from the network but cant login.

Keep the customize .profile and /etc/profile away from sometime and copy the standard profiles from /usr/newconfig/etc.
set /etc/hosts.equiv on the host to have access from other box while in Single User mode.
I know, As suggested you'd have set the simple/null password.
Check for man hosts.equiv for referrence.
System re-install would have been the last option but I know Admins here are smarter than Mischievous kid on your system. :-)

Remove /etc/securetty file and try with the changed password.It should work.

Oops. This file should not exist if you aren't going to limit root login locations. If it is 0 bytes, then root can NEVER login. That's what this file does. If it has "console" then root can login on the console. If it haas nothing, then root can never login from anywhere.
