what is yhe major difference between iLO2 and iLO3?

iLO3 is a whole different product. It has an ARM based processor that runs 4x - 6x faster than iLO2, less power consumption and the firmware uses a very robust commercial RTOS.
I don't know about DRAC and I don't think I could give you an unbias opinion about Dell products but, I can tell you that HP iLO is like wine. It gets better with time.

My 2c: iLO3 is made from better grapes by a able winemaker, but some of the more exotic flavours still have to develop compared to iLO2... VSP and it's capturing of the BIOS framebuffer is not yet quite as good as iLO2. ;-)
