There should be no issue with having two NICs with addresses in the same subnet. One of the techniques in building reliable TCPIP configurations is to use two NICs within the same network and a "service" address configured with failSAFE IP. See http://h71000.www7.hp.com/openvms/journal/v2/articles/tcpip.html for a detailed discussion.
Another question, what version of TCPIP or UCX was installed before the upgrade? Did you have a psuedo interface configured?

Does the 2nd NIC ping from a another host on the same network? As Hoff states, both NICs have traffic so a look at the network may be called for.
