I have just been told if I upgrade my memory on my k580 (running 10.20) to 4gb I will need to install version 11..Is this a true statement ?!!?

this is not problem you can have 4Gb memory without running hpux 11.00

Solution
Actually 10.20 will only address up to 3.75 GB, or is it 3.8? Anyway, it's just under 4Gb, so you will actually have a tiny bit of wasted memory.
However, you should probably consider upgrading to 11.x anyway - 10.20 will no longer be supported as of next June.
