I too have this problem on my DL380 G5 running SBS 2003 R2. I upgraded to v8.10 of the management agents but that fixed nothing. In fact it still shows version 8.0 in the agent gui and cqmghost.exe is still version 8.0.

Has anyone worked with HP support on this to find a solution?

I still haven't found out what's the difference between my 2 DL380....
I hope HP won't let us down on this problem

For those of you who do not want to uninstall 8/8.1 I found a workaround to stop it from happening without killing any of the functionality of the agents except for the one feature.

Go to the management agents in the control panel and under the services tab move "Performance Monitoring" from the active agents to the inactive agents.

It will restart the agents and the error should stop occuring.

So basically the only known solution is to turn off "Performance Monitoring"? What if we want to monitor server performance?

I would love to see HP bringing an answer to our problem but apprently, they have something else to do.....
I'm more and more disappointed by their absence of answer... but what can we do unless finding workarounds by ourselves ?

Fixes
System hang on DL 580 G4 due to multiple SM?BIOS calls on every poll on memory.

I am still unable to start the service when using version 8.10.0.0.

Issue maybe related to a group policy.

Turn off UAC. You can either go to Go to Control Panel/ Users etc, or you can run MSCONFIG and go to the Tools tab

Insure that the local system account has directory privileges to everything on the C:\ drive?

Unfortunately, there's no UAC on Windows Server 2003....

This is linked to the HP Foundation Agent service.
If you download the latest PSP (proliant support pack) for your model of server and run this on the server you will find an option to update a variety of firmware, drivers and software on the server. These are all pre selected. At the top of the page there will be (depending on type of server) some unselected options.
The one you need to update is the WBEM agents (can't remember the full title).
Install this and restart the server.
Deselect all the others if you don't won't the others to be installed as well.
The HP Foundation Agent service will start and remain started and there won't be any errors in the event log.
I did this on a DL380 G5 running W2K3 R2 (32 bit) and it worked a treat.
Why these aren't installed when using smart start i am not sure. It looks like a post task to me.
