I install netgear ga620 on prolient 5500 (pci 32bit*33MHz) in connect it directly to other NIC (on other computer). bothe NIC report the link is 1Gbit. I copy file over this network. and it worked at 10MByte a second.
were can I find a tool that test the netwotk speed? (I prefer TCP speed)

Take a look at ttcp.
Various implementations exist - Google is your friend.

I you want to test tcp speed, try Iperf:
