exception access violation (0xc0000005), address: 0x635871c6

I have put into service a new HP LC2000 Net server 256Mb Mem, 3x9.1 Gb Drives NT4.00 SP6a.
I am now trying to install IE 5.0.
The server already has IE3.02 install but throws up the following error when trying to open HTML pages.
exception access violation (0xc0000005), address: 0x635871c6.
Also the following events are added to the even log.
Event id 4005
Load of INETMIB1.DLL failed. Make sure the DLL file is in the PATH. WIN32 Error number is returned in the data.
Event id 1008
The Open Procedure for service "Tcpip" in DLL "Perfctrs.dll" failed. Performance data for this service will not be available. Status code returned is DWORD 0.
I have read the Microsoft papers on the two events ID and have re-applied the service pack 6a with no success. I even tried uninstalling 6a and then installing 3, 4, 5, then 6a.

There is no information that I can find on the exception access violation (0xc0000005) with an address of 0x635871c6.

IE 5 will not install over the top of the IE 3.02 and returns the error:

?Set up could not receive the information needed for the installation. The network is probably busy. Try again later.?

I am in desperate need of some assistance as the server can only be taken off line for very small periods of time and I do not wish to rebuild.
The reason for the IE 5.0 install to be able to run Top Tools.

did 1 hours of research into this. in a nutshell.
Remove SNMP reinstall SNMP, IF you have a cpq server remember to update with the NTSSD. Also try and look at Q158874 and q152513
