VLAN and traffic shaping

Looking for a method to traffic shape two VLANs on one NIC so that one VLAN does not take the whole bandwidth for its use. Looking at QoS on the Cisco 3020's, but do not want to drop traffic to accomplish this. Ideas?? Frank Fedele
