We are currently supporting 3 HPUX guests (running Oracle 10g) on our rx3600.
Apparently we can advance to HP VM v3.5 without upgrading to HPUX 11i v3, although I have not located release notes. HP VM v4.0 and beyond requires HPUX 11i v3.
Our current server strategy is to upgrade to more capacity in 2012.

I'm told my ITRC login has inherited necessary privs to download software. But upon navigating "software update manager" or "download drivers and software", I'm presented very limited offerings, none of which includes HP VM.
I did however find this link which will allow me to download an expiring eval copy. (not particularly useful?)

So, my questions specifically are:
1) What is my upgrade path from A.02 to v3.5 ? Do I upgrade directly or via v3.0 ?
2) How, (from where) can I download necessary software?

HPVM is not available for download, its on the Core OS DVD. It may be on the Application DVD, but I've not looked there.
As far as upgrade goes, what you are doing is going to stop you at 3.5 and you will never be able to go further.
Building a new 11.31 server, going to 4.2 of HPVM and gradually using Ignite to migrate your guests, may be a better option if you can afford the capital expendiature.
There are a lot of benefits to HPVM 4.x including many options to dynamically change guest characteristics.

You don't even need to restore your guests, as long as they meet the minimum requirements and are not on the same disks as the host is.
