Is there any convering tool available for Vxfs to Fat32/NTFS???

Very unlikely ;-)

Why?
You may export the file system from the hp-ux server to other machines (samba).

OK... Do you want the data off of the file system? Otherwise you will have to format the drive. An explanation of what you are wanting to accomplish would help.
