Will DL380 G4 accept 7140M dual-core 3.4GHz XEON?

I've got some 7140M dual-core 3.4GHz Tulsa class socket 604 Xeon CPUs that I'm tyring to find a home for.  If I yank the dual-core 2.8GHz CPUs from a DL380 G4 and pop the 3.4GHz in, what are the odds that it would work?

Normally I would think it would, but I've made that mistake before and figured I'd ask for feedback first this time.

The natural habitat for the 7140M is in quad CPU machines and I'm looking for anything smaller that will accept it.
