upgrade to Windows 2000 should work, drivers are available from hp (http://h20004.www2.hp.com/soar_rnotes/bsdmatrix/matrix45937en_US.html)
Windwos 2003 may work also but I have no experience with this OS.
Before upgrading you should make a full backup. I think installing a new W2K server is better than upgrading directly from NT4, but both ways are possible.
Don't forget Memory (max. memory is the best way to get more performance).
Is it worth the cost to upgrade? I think it depends on applications you use. If the server is only file&print server and/or running only some applications, which needs no high performant server, the upgrade is a good idea because NT4 is no more really supported by Microsoft, as well as for security reasons.
On the other hand: Never change a running system... ;-)

Upgrade is greate idea, but make sure that you upgrade the BIOS before you upgrade OS, W2k will be greate.

This is most likely to late to help you out but here goes anyway.
I have an E60 which had a single P3 450Mhz CPU. Went to ebay and purchased a matched pair P3600 CPU's for $85.00, Updated the Bios and installed Win 2000 server,Maxed out the memory and it works great.
This might be a cost effective alternative if your system is not using the highest available CPU speed.
