RDU - connection requirements

I am writing a script using RDU SETUPC.EXE. I have IP connectivity and map drives between W2K and NT4 servers (same LAN)
However I get 'ERROR could not connect to the computer' when running SETUPC.EXE
I am using the correct syntax, get same error using RDU GUI
How dows RDU connect? CPQ version update agent on both devices.
