NIC Teaming ADDR_FLAP

Compaq DL380 is configure with network teaming (redundancy not load balancing). The Server has the latest patches etc (Compaq and NT). There are no errors reported from the compaq software, send or receive. The network connectivity seem OK. No NT errors in the NT Event log. But the Cisco 2912 switch sees multiple MAC addresses from the same link (an address flap). If I unplugg one of the network cables the problem abvoiusly stops.

Both the cisco 2912 and the Compaq NIC are set for full duplex.
Nic Card Model
Compaq NC3163 Fast Ethernet Embedded NIC
Compaq NC3123 Fast Ethernet NIC

Cisco log:
Syslog logging: enabled (0 messages dropped, 33 flushes, 0 overruns)
Console logging: level debugging, 3795 messages logged
Monitor logging: level debugging, 0 messages logged
Buffer logging: level debugging, 2001 messages logged
File logging: disabled
Trap logging: level informational, 2005 message lines logged

Log Buffer (4096 bytes):
5 addrs per min
11w0d: %RTD-1-ADDR_FLAP: FastEthernet0/2 relearning 5 addrs per min
11w0d: %RTD-1-ADDR_FLAP: FastEthernet0/2 relearning 5 addrs per min

I also have I have another 8 x DL380 with same configuration using the same Cisco 2912 Switches. 4 of these server are reporting the same errors. The only common thing is that they all run IIS4. The reason I noticed this is that A cisco content switch (CSS), which monitors specific services on these servers, reported the the service was "dying".

Any advice would be greatly appreciated.
