You just need to make sure it is running the latest firmware, and that you have the correct OS load for the version of VM you wish to run.
As Torsten says, for 11iv3 Host you MUST use the September 2008 11iv3 media, PLUS patches for V4.0 of VM.

Thanks for your comment guys! Really appreciate it. I can't grab the required 11v3 OS. I already installed 3.5 instead for 11iv2. Looks like the installation is successful:

I was able to create tw guests both running HP-UX 11iv2 except that test1 cannot boot for some reason.
From the EFI menu this is the error I am getting:

Assuming that VM Host uses 1 Go of RAM, you can allocate something like 4.2 Go to the guests with integrity VM 3.5 (7.5% of free memory and 7% overhead). Though your host is low in memory you should be able to start both VM (2 + 1Go). Have you tried to start only test1 ?
How have you installed test1 and test2 ? Install one first then clone it through ignite or a low level copy ?
Also post "hpvmstatus -P test1" and "hpvmstatus -P test2"

I dont have a problem with test2. It's just the test1 that is screwing up.
I installed them one after another from an iso file available in virtual CDROM.
I installed first the test1 and boots fine... I shut it down and created and test2 but for some reason when i tried to boot up test1 again while test2 is up I've got the said error i posted above. I tried to bott up test1 with test2 shutdown but the error is just the same.???

I see no VM Guest configuration problem ...
Don't know but I am afraid installation of test1 is now in a corrupted state. By chance could you have do a mistake between disk of test1 (c6t0d2) and test2 (c7t0d3) and then have erased a part of c6t0d2 ?
Have you tried to boot test1 with /11ivxOS/HP-UX-11.23-DVD-OS.iso and ran into an "Expert Recovery Shell" to make some controls ?
An other question : the error you have posted don't show any explicit message between "Use ^ and v to change option(s). Use Enter to select an option

Starting: HP-UX Primary Boot: 0/0/0/0.0.0"
and
"*** A fatal error has occurred -- VM terminated ***"
Have you truncated it ?
And finally a suggestion, just to see, in case you have physical problem on RAM : shutdown test2, and try to boot test1 with only 1 Go of RAM.

Thanks for your help. I already found out the culprit... It's the ISO Image. All is well now and I have 4 VMs (Guests) running in my Virtual Environment.
