Hi Jim!
No You cannot Upgrade it to the mentioned Processor.

Your Server has 400 Mhz FSB, which will only support :
Intel Xeon 2.40 GHz-512KB, 400 MHz FSB, Processor Option Kit : 257913-B21(You already have this)
Intel Xeon 2.20 GHz-512KB, 400 MHz FSB, Processor Option Kit : 283702-B21
Intel Xeon 2.00 GHz-512KB, 400 MHz FSB, Processor Option Kit : 283701-B21
The Processor you mentioned is Also for 400 Mhz, However, it is the Limitation of the server you have.
Had the server been of 533 Mhz FSB, you could have opted for :
Intel Xeon 3.06 GHz-512KB, 533 MHz FSB, Processor Option Kit : 257916-B21
